Charles is a partner with the Real Estate Practice Team. He represents clients in a variety of commercial and residential real estate transactions as well as development and redevelopment projects, commercial leasing, construction, equity and debt structuring, and business entity/joint venture formations.  He has represented public and private developers, contractors, lenders and investors in projects including multi-phased retirement communities, multi-family apartment complexes, mixed use assets, and residential and non-residential condominium projects.

In his former role as general counsel for a large full-service real estate development and construction company, he formed and managed a title insurance agency, in addition to providing legal oversight for the company and its 40+ affiliated entities. 

Experience

Represented sitework and excavation contractor in $20+ million, 300+ acre sitework and construction contract for development of a 2.2 million sq. ft. Class-A industrial park, with delivery and placement of over 800,000 cubic yards of fill.

Represented investment group in the equity structuring, due diligence, and simultaneous, same-day $17+ million acquisition and $24 million sale of an operating hotel asset.

Represented industrial developer in the joint-venture structuring, financing, acquisition, development, build-to-suit construction, leasing, and disposition of a 50+ acre mixed-use industrial park, including procuring a Bald Eagle Incidental Take Permit from U.S. Fish & Wildlife Service.

Represented real estate developer in the construction closeout and $33.5 million sale of a 150,000 sq. ft. build-to-suit medical research and international headquarters facility for a global medical research and diagnostic company.

Represented industrial developer in the financing, acquisition, build-to-suit construction, and leasing of a 60,000 sq. ft. build-to-suit warehouse project for a publicly-traded construction supply company.

Represented industrial developer in the financing, acquisition, build-to-suit construction, leasing, and $10 million sale of a 32,990 sq. ft. build-to-suit warehouse and crane project for a publicly-traded construction supply company.

Represented investment group and affiliate mining company in the equity and debt structuring, $15.3 million acquisition, entitlement, horizontal development, and start-up mining operations of a 500+ acre mining site for ultimate conversion to residential and commercial mixed-use applications.

Represented investment group in the stock acquisition and financing of an excavation, sitework, and mining company with annual revenues exceeding $35 million.

Represented continuing care retirement community in the joint-venture structuring, due diligence, acquisition, construction, and end-user sales of a multi-phase, luxury retirement community with aggregate project value in excess of $500 million.

Represented apartment developer in the due diligence, financing, acquisition, construction, lease-out, and $71.4 million sale of a 324-unit apartment complex.

Represented developer in the due diligence, acquisition, entitlement, condominiumization, and lease-out of a 42-acre mixed-use shopping center, together with the development and construction of an integrated, 300-unit luxury apartment complex.

Represented apartment developer in the development, construction, and lease-out of a 304-unit, amenitized apartment complex, subsequently sold for $82.25 million.

Represented residential developer in the due diligence, acquisition, development, construction, end-user sales, and association turnover of a 71-home, 54-acre luxury boating community.

Represented retail developer in the development, construction, lease-out, and $26.5 million sale of a 50,000+ sq. ft. retail shopping center.

Represented retail developer in the development, construction, lease-out, and $11.5+ million phased disposition of a 55,000+ sq. ft. retail shopping center.

Represented residential developer in the due diligence, acquisition, development, and end-user sales of 234 parcels within a luxury golf community.

Represented investment group in the tenancy-in-common equity structuring, due diligence, and $18.75 million acquisition of a three-building, 80,000 sq. ft. office complex.

Represented condominium developer in the development, regulatory filing, end-user disposition, and association turnover of a two-tower, multi-phase, 80+ unit luxury condominium project and adjoining marina condominium amenity, with recreational use rights through a submerged land lease with the State of Florida.

Represented retail investor in the due diligence, financing, $32.45 million acquisition, and subsequent leasing operations of a 108,000 sq. ft. luxury retail and office center.

Represented various charities, churches, religious organizations, philanthropists, and non-profits in various real estate matters, including acquisitions, financing, construction, leasing, license agreements, sales, and other general matters.

Real Estate Attorney

Chris is an experienced real estate attorney focusing on homeowners and condominium association representation. Laura is an attorney on the firm’s estate planning team where she helps individuals and families to identify their estate planning goals and to create plans tailored to meet their specific needs. Estate Planning Attorney

Rebecca is a member of the Estate Planning Practice Team where her practice includes all aspects of estate planning and estate settlement, including tax planning, cottage planning, charitable gift planning, business succession planning, long-term care planning, prenuptial agreements, and estate and trust administration services. From simple to sophisticated plans, she has helped clients to put protections in place for their minor and adult children, spouses and unmarried partners, aging parents, loved ones with disabilities, and loved ones who may need assistance with managing finances.

A substantial portion of Rebecca’s practice also involves crafting Trusts for animal companions (pet trusts), and she frequently speaks and writes on this topic for community groups, law students and other lawyers.

Rebecca is experienced in the nonprofit sector as past chairperson of the board of directors of Barn Sanctuary and vice president of the board of directors of Attorneys for Animals. Rebecca also assists nonprofit organizations with qualifying for and maintaining tax-exempt status and has been named to Crain’s list of Notable Women in Nonprofits.

Rebecca is a member of the adjunct faculty at Wayne State University Law School, a contributor to the Institute of Continuing Legal Education and serves as a Council Member for both the Probate & Estate Planning Section and the Animal Law Section of the State Bar of Michigan. Estate Planning and Business Attorney

Rob is a member of the Estate Planning Practice Team. He is experienced with all facets of advanced planning techniques, with a particular focus on the intersection of business matters and personal estate planning. Rob regularly works with estate planning vehicles including wills, various types of trusts, powers of attorney, prenuptial agreements and other documents. He also provides counsel on entity structuring, including LLCs, family limited partnerships and corporations in order to minimize estate and gift taxes as well as facilitate the efficient management and transition of family assets.

Working with Varnum’s corporate attorneys, Rob provides guidance from an estate planning perspective in transactional matters, ensuring that clients who buy or sell a business have assets properly and optimally incorporated into their estate plan.

Rob formerly practiced in Florida, using his experience to counsel clients who own property in Florida and those clients who relocate to Florida on a more permanent basis. His knowledge of Florida homestead matters is particularly helpful for transplanting clients.
