Varnum Represents Tribally Owned Entity in Construction Company Acquisition

Varnum represented Dowagiac-based Mno-Bmadsen, the non-gaming investment arm of the Pokagon Band of Potawatomi, in its recent acquisition of OJS Building Services, an Indiana company specializing in HVAC, plumbing and building automation services.

The acquisition brings on new clients in Mno-Bmadsen’s construction services group, stronger HVAC control services, and OJS’ approximately 7-acre location. OJS, which employes 25-30 unionized workers, also complements Rolling Prairie, Ind.-based mechanical contractor D.A. Dodd, which Mno-Bmadsen acquired in 2015.

Varnum represented Mno-Bmadsen in the acquisition, negotiating and drafting purchase agreements and other transaction documents for the business and the related real estate, as well as providing due diligence and other ancillary work. The Varnum team included Fred Schubkegel, Elliott Berlin, and Diane Chiles. In addition to typical M&A work, the team navigated collective bargaining, licensing and regulatory issues as well as analyzing and rebuilding the record of real estate ownership.
