Varnum LLP advised Pro Care Unlimited (Pro Care) in its sale to Abound Health, a multi-state provider of services for individuals with intellectual and developmental disabilities, bringing together two organizations that share a commitment to high-quality, person-centered care.
Pro Care is a Michigan provider of home and community-based support services that help individuals maintain independence through personalized assistance. The organization delivers Medicaid-supported programs, including community living services, personal care services, respite support, and home help for seniors and individuals with behavioral health or physical support needs.
Varnum advised Pro Care on all aspects of the transaction, including negotiating and drafting transaction documents, managing the multidisciplinary due diligence process, coordinating responses to buyer inquiries, coordinating pre-closing entity formation, and preparing disclosure schedules. The team also managed post-closing matters, including payor credentialing, entity name changes, and retirement plan termination.
