Varnum LLP advised Orbion Space Technology (Orbion) in its sale to York Space Systems (York), a leading U.S.-based national defense and commercial prime providing a comprehensive suite of mission-critical solutions. The acquisition strengthens York’s integrated space ecosystem and advances its initial public offering strategy, focusing on technology alignment, domestic production, and reliable systems.
Founded in 2016, Orbion develops Hall-effect electric thrusters designed for constellation-scale satellite missions. The company’s Aurora propulsion systems are currently in operation aboard York-built spacecraft, supporting national security efforts, including satellites deployed within active military constellations.
Varnum advised Orbion on all aspects of the transaction, including strategic negotiation support, due diligence coordination, tax advisory, and preparation of definitive transaction documentation. The Varnum deal team was led by Partner Zach Meyer and included Charles Russman, Conor Boland, Isaac Houskamp, and Maria Gedris.
The deal represents the culmination of a decade-long partnership between Varnum and Orbion. The firm has served as Orbion’s primary outside counsel since the company first came to Varnum as a MiSpringboard client in 2016, assisting with its formation, founding team agreements, and early equity arrangements. From there, Varnum guided Orbion through multiple rounds of capital raising, including its Series Seed offering in 2017, its Series A raise in 2019, and subsequent Series B and bridge financing rounds. Throughout that time, the firm also served as Orbion’s day-to-day outside counsel across a broad range of corporate and commercial matters.
