Michael is a member of the firm’s Corporate Practice Team, where he concentrates his practice on complex business transactions and corporate counseling. His transactional practice encompasses mergers and acquisitions, corporate governance, entity formation and structuring, and general corporate counseling. He represents clients across a broad spectrum of public and private securities matters, including SEC regulatory compliance, securities offerings, and capital markets transactions. Michael advises a diverse client base that includes private equity funds, venture capital firms, financial institutions, emerging growth companies, and publicly traded businesses at all stages of their organizational lifecycle.

Experience

Counseled West Michigan-based insurance brokerage firm in numerous strategic roll-up acquisitions.

Represented Peterson Brands, LLC in its acquisition of Country Pure Foods, a leading U.S. producer of juices, plant-based beverages, and frozen novelties.

Served as co-counsel to Acrisure, LLC in connection with its $2.1 billion private securities offering and capital raise led by Bain Capital.

Advised healthcare clients in numerous managed service organization (MSO) transactions with concierge medicine providers.

Represented a Michigan-based private equity firm in multiple platform and add-on acquisitions, related debt and equity financing transactions, and divestitures.

Served as U.S. counsel to a German-based company in connection with its sale to a major European private equity firm.

Represented a Michigan-based private equity firm in the sale of a portfolio company operating in the defense and security sector to a national private equity buyer.

A secondment with the legal team of a prominent family office, where he provided strategic counsel on navigating a complex new corporate regulatory scheme, advising on compliance obligations, governance implications, and implementation strategies.
