Pete’s experience is in business and transactional work, with a heavy focus on mergers and acquisitions, private equity, venture capital, and joint venture transactions. He provides counseling with respect to day-to-day business issues of all types, including commercial transactions, corporate structuring and succession planning. Pete is also experienced in real estate transactions and tax planning matters, including extensive work in connection with 1031 exchange transactions.
Additionally, Pete has significant experience in laws unique to cooperatives, including the Capper-Volstead Act, laws governing shareholder matters, patronage, and relevant tax laws and regulations. He represents a number of agricultural cooperatives as general counsel as well as for specific matters including formation/organization, governance matters, and mergers and acquisitions.
Representation of Fabco Holdings, Inc. in sale of product portfolio and related technologies to Meritor. Negotiated transaction documents and advised on employee benefit, union, IP matters and financing-related matters.
Sale of Granger Energy Services division's sixteen landfill gas-to energy sites across six states to an Australian company. Negotiated sale agreement, coordinated antitrust filings, and advised on tax, employee benefits and energy regulatory matters.
Purchase of Schuil Coffee Company by a Michigan entrepreneur. Negotiated purchase agreement, provided due diligence, environmental counseling and patent and trademark filings associated with the purchase.
Represented Entente Spirits (Round Barn Winery, Free Run Cellars and Round Barn Public House) in acquisition of Tabor Hill Winery, including 25 acres of vineyards, a restaurant and three retail locations. Drafted the purchase agreement and coordinated filings with the liquor control commission.
Sale by a large Tier I automotive company of five facilities in multiple states and Mexico
Purchase by a Chinese publicly-traded company of a manufacturing business in two states (client's first U.S. acquisition)
Sale by an international publicly traded company of a technology business to another international publicly traded company, involving facilities and operations in three continents
Investment by a U.S. based venture capital fund in a U.K. based company, with complex tax and international structuring
Representation of eight private equity funds in connection with their investment in (multiple rounds) and exit from a medical device company
Merger and Acquisition Transactions
Sale of a family-owned consumer products business to a private equity fund ($500 million)
Roll-up of three automotive companies by a private equity fund and sale of the combined entity to another private equity fund ($415 million)
Sale of an automotive supplier to an international company ($385 million)
