Varnum Advises SxanPro in Sale to Vizient

October 26, 2026

Varnum LLP advised SxanPro in connection with its sale to Vizient, Inc., a leading health care performance improvement company.

SxanPro develops inventory intelligence technology for health care organizations, helping providers gain greater insight into supplies used in procedural and other specialized care settings. Its patented mobile scanning technology uses Unique Device Identification (UDI) data to help organizations understand what inventory they have, where products are located, and whether they remain usable. The acquisition adds SxanPro’s technology to Vizient’s Spend Management portfolio, expanding the resources available to clients seeking to reduce waste, improve inventory management, and strengthen supply chain operations.

“As a first-time founder navigating a transaction of this significance, having an experienced and trusted legal team was invaluable,” said Ashlea Souffrou, founder of SxanPro. “The Varnum team provided thoughtful, strategic guidance at every stage of the transaction, from negotiating the letter of intent through closing. We are incredibly grateful for their partnership and support as we begin this exciting next chapter with Vizient.”

Varnum advised SxanPro on corporate and transactional matters throughout the sale, including negotiation of the terms of the transaction at the letter of intent stage through diligence and negotiation of the definitive purchase agreement. The firm also advised on commercial contracts and NDAs, capitalization and equity matters, capital raises, and employment matters. Partner Jake Droppers led the deal team, which included Shawn Strand (Tax), Jessica Visser (Corporate), and Isaac Houskamp (M&A).
