Varnum Represents Granger in Sale of Energy Division to Australian Company

In 2017, Lansing-based Granger, a family-owned provider of waste hauling, disposal and recycling services, announced the sale of its Granger Energy Services division to Energy Developments (US) Ltd. (“EDL”), an Australian-based company that provides safe, clean renewable energy solutions.

The Granger Energy Services division includes 16 landfill gas-to-energy sites across six states including Michigan, Ohio, Indiana, Pennsylvania, Utah and Alabama. EDL will take control of those sites, retain the division’s 45 employees and move its North American headquarters to the Lansing region. Granger will retain ownership of its landfills and will continue to provide trash hauling and recycling services.  

Varnum’s M&A team for this transaction was led by Pete Roth and Jake Droppers. Varnum represented Granger in all aspects of the sale of the Granger Energy Services division to EDL, including, negotiating the purchase and sale agreement and ancillary documents, and coordinating antitrust filings. The larger deal team included Jeff DeVree (tax and employee benefits), Steve Morren (antitrust), Zach Meyer (antitrust), Kim VandenAkker (corporate), Tim Lundgren (energy), Wayne Roberts (tax) and Katie Roskam (tax and corporate).

The Varnum M&A team worked closely with the Granger management and ownership teams in connection with the negotiation and execution of the definitive documents.
